We are looking for an attorney with approximately four to seven years of experience negotiating secured and unsecured finance, banking and lending transactions of a variety of types and structures. The successful candidate will have a passion for working with a variety of clients and counterparties, ranging from entrepreneurs, emerging growth tech companies and the providers of financing to such companies to the more traditional debt finance providers and/or arrangers. The candidate should also expect to be involved in an array of types of financing transactions representing a broad range of counterparties (both in the technology sector and in other sectors). Position: Venture Technology (Tech Banking) Associate Location: New York Responsibilities The attorney hired for this position will have a passion for working with a variety of clients and counterparties, ranging from entrepreneurs, emerging growth tech companies and the providers of financing to such companies to the more traditional debt finance providers and/or arrangers. The candidate should also expect to be involved in an array of types of financing transactions representing a broad range of counterparties (both in the technology sector and in other sectors). The candidate can expect to assume such responsibilities as: Taking a significant-to-leading role in negotiating various credit and debt arrangements and the documents associated with same Assisting more senior attorneys to lead/manage banking and finance transactions from inception to closing, including larger syndicated and/or cross-border debt transactions Supervising more junior attorneys in the context of the above-described matters including with respect to the review and negotiation of loan documentation and performing the necessary legal due diligence associated with such matters Contributing to banking and finance matters involving a broad range of complexities and sophistication of the counterparties. Debt deals can range from borrower or lender-side representations of early-stage borrowers that are negotiating their first ever debt facility to large leveraged finance matters of sponsor backed companies Matters include asset based lending facilities; secured and unsecured commercial lending transactions; private banking transactions, often involving esoteric collateral (e.g., art loans; aircraft loans; loans secured by interests in hedge funds; margin lending; etc.); subscription credit facilities; asset based (NAV) and hybrid facilities; leveraged buyout and other acquisition finance-type facilities; private equity management company and general partner credit facilities; working capital facilities; receivables financing; technology and venture lending; commercial real estate financing; and securities lending Helping to build relationships with clients and others across the broader ecosystem and to grow the banking and finance team and expertise at Dentons Significant involvement in cross-border and/or multi-jurisdictional debt financing matters as part of a team of attorneys at the most global law firm in the world Position Requirements Personal skills/attributes Is diligent and hard working Is ambitious, with an entrepreneurial spirit Possesses strong analytical skills Is good on one’s feet with the ability to work effectively under pressure Embraces teamwork and exhibits confidence Technical skills 4-7 years of legal experience is required Strong familiarity with secured lending transactions and the Uniform Commercial Code Other requirements Should be licensed to practice law in New York and be in good standing Compensation Pursuant to New York law, the salary range for this position will be $295,000 – $400,000 based on experience.
